This End User License Agreement (“Agreement”) is a legal and binding agreement between you (“You”) and noizplay (“noizplay”), a sole proprietorship based in Switzerland, for the use of noizplay audio plugins, standalone apps, and all associated content such as presets, samples, and documentation (“Software”).
By downloading, installing, or using the Software, you agree to these terms.
Downloads: You may re-download the Software as many times as necessary.
License and scope of use: You are granted a non-exclusive, revocable license to use the Software on up to three (3) devices you own. The Software may be used for both private and commercial purposes (e.g. music production, sound design, post-production), unless the applicable product terms state otherwise.
Multiple installations: If you purchased the Software as an individual, you may install it on up to three (3) devices you personally own. If you purchased it as a company or institution, the license covers either one user on multiple machines, or one machine used by multiple users.
License transfers: You may transfer your license to another person with noizplay’s prior written consent. A transfer fee may apply. Upon transferring, you must remove all copies of the Software from your machines and stop using it.
Distribution: You are not permitted to distribute the Software without noizplay’s permission. This includes, but is not limited to, bundling it with other software, DAWs, or any other product.
Audio content: You may freely use all included presets, samples, and audio content in your own productions. You may not redistribute, resell, or make them available as standalone files or as part of a competing sound library, preset pack, or software product.
Your work: Anything you create with the Software (music, sound designs, etc.) is yours. noizplay claims no rights to your work.
Updates and support: Free updates are provided within the current product version. Major version upgrades may require a separate purchase. Support is provided on a best-effort basis. noizplay reserves the right to discontinue development or support for individual products.
Activation: Some products may require online activation or periodic license verification. If an activation server is permanently shut down, noizplay will provide an alternative activation method or remove the activation requirement where reasonably possible.
Privacy: noizplay collects personal data only as needed for purchases and licensing (e.g. email, name, payment info). The Software may collect anonymized usage data (e.g. crash reports) with your consent. Data processing follows Swiss data protection law (FADP) and, where applicable, the GDPR. Liability: By installing this Software you agree to use it at your own risk. noizplay’s liability is limited to the purchase price you paid. noizplay is not liable for indirect or consequential damages, unless caused by willful misconduct or gross negligence. These limitations do not apply to damages resulting from injury to life, body, or health.
Warranty and DAW compatibility: The Software is provided “as is.” noizplay does not guarantee compatibility with all DAWs, operating systems, or hardware configurations. In particular, noizplay is not liable for incompatibilities caused by updates to third-party DAWs, operating systems, or plugin interfaces. Warranty claims expire two (2) years after purchase, to the extent permitted by applicable law.
Termination: You may terminate this Agreement at any time by uninstalling and deleting all copies of the Software. noizplay may terminate this Agreement immediately if you breach any of its terms. In that case, you must delete all copies of the Software without delay.
Changes to this Agreement: noizplay may update this Agreement at any time. Material changes will be communicated to you (e.g. by email or in-app notice). Continued use after changes take effect means you accept them. If you disagree, you may stop using the Software and terminate the license.
Copyright: noizplay owns the Software and all trade secrets, copyrights, and other intellectual property rights therein. All trademarks, logos, and trade names of noizplay may not be used without prior written consent.
Governing law: This Agreement is governed by the laws of Switzerland, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of law provisions. Place of jurisdiction is the registered office of noizplay, to the extent permitted by applicable law. If any provision of this Agreement is found invalid, the remaining provisions remain in effect.
